一、浙江银泰投资有限公司与包头市中冶置业有限责任公司房屋租赁合同纠纷上诉案

【裁判摘要】


在房屋尚未建成的情况下,出租人与承租人即签订租赁合同的行为,属于对未来房屋的预租行为。关于此行为,我国现行法律、行政法规尚无规定,其效力的认定可参照适用有关房屋租赁的规定。根据《最高人民法院关于审理城镇房屋租赁合同纠纷案件具体应用法律若干问题的解释》第二条规定,出租人与承租人就未取得合法建设手续的房屋签订的租赁合同无效,但在一审法庭辩论终结前取得的除外。由此可知,出租人与承租人就未取得合法建设手续且尚未建成的房屋签订的房屋预租合同应认定为无效合同。


[Judgment Abstract]


The act of signing a lease contract on a building prior to its completion of construction is called as the pre-lease of a building. Given that there is no specific provision in China’s present laws or administrative regulations on the said act, the validity of the contract may be determined mutatis mutandis in accordance with the relevant provisions on housing lease. Under Article 2 of the Interpretation of the Supreme People’s Court on Several Issues concerning the Application of Law in the Trial of Cases about Disputes Over Lease Contracts on Urban Buildings, a lease contract on a building which has not yet undergone lawful construction formalities shall be void, unless such formalities are undergone before the conclusion of debate of first instance court. Therefore, the lease contract on a building which has not undergone lawful construction formalities and not been finished should be determined as invalid.

【裁判摘要】


房屋租赁合同双方都具有要求对方实际履行合同的权利,承租方应依法按合同约定对出租方承担支付租金之义务,若承租人不履行支付租金的义务应该视为违约,并承担违约责任。但因存在法律上的障碍导致承租方未履行支付租金的义务不应认定为违约。


[Judgment Abstract]


Both parties to a housing lease contract have the right to require the other party to actually perform the contract, in the sense that the lessee shall bear the obligation to pay the rent to the lessor as agreed on in the contract in accordance with law. Where the lessee fails to perform its obligation to pay the rent, it constitutes a breach of contract and the lessee shall bear the liability for breach of contract. However, it shall not be determined as a breach of contract if legal obstacles result in the lessee’s failure to fulfill its obligation to pay the rent.

Shanghai Kunlun Shopping Mall Co., Ltd. v. Shanghai Minghong Investment Co., Ltd. (civil judgment for retrial case regarding dispute over a housing lease contract)


【裁判摘要】


房屋租赁合同项下承租人的主要债务是支付租金,承租人因双方原因未能及时全额支付租金的,应按照约定向出租人支付逾期支付租金违约金。承租人仅未支付违约金的,不构成迟延履行主要债务,也未导致合同目的不能实现,不属于合同法定解除的情形,故出租人无权主张行使法定解除权解除合同。


[Judgment Abstract]


Given that the main debt of the lessee under a housing lease contract is to pay rent, the lessee should pay as agreed the liquidated damages for overdue payment of the rent to the lessor if it fails to pay the rent in full amount in time due to the causes attributed to both the lessor and the lessee. Whereas the lessee’s sole failure to pay liquidated damages neither constitutes a delayed repayment of major debts nor renders it impossible to achieve the purpose of the contract, it falls beyond the circumstances for the statutory rescission of the contract, whereby the lessor has no right to request the rescission of the contract.
